**Purpose:** say what the technology does (powerful claims allowed) without sounding like Fourwall performs accounting, audit, tax/zakat, or bookkeeping services.  
**Status:** practical positioning guide, not legal advice. Items marked **needs Saudi counsel confirmation** must be cleared before publishing contracts or regulated claims.

## 1. Principles : how Saudi regulators are likely to read your words

### 1.1 The three audiences that matter
1. **SOCPA (under the Accountancy Profession Law):** polices who may hold themselves out as providing accounting, bookkeeping, audit, review, or related professional services (ISIC 6920-type work). Marketing that says *"we do your books / we close your books / we prepare your financials"* reads as a professional service even if you meant software.
2. **MISA (investment licence scope):** a foreign-owned LLC must operate within its licensed activities. Language implying regulated professional services outside the licence (e.g., accounting consulting SBC 702020, administrative consulting 702013) creates scope risk. Planned safe activities: 620113 (AI technologies), 631113 (big data/data science), 702012 (validation of documents and data), 702014 (rehabilitation/restructuring of admin/financial/operational processes), 702017 (senior management consulting : needs municipal operating licence), 620102 (custom software), 620101 (systems integration).
3. **ZATCA (tax agents):** only licensed tax agents may represent taxpayers / provide tax agency services. Anything like *"we file your VAT / we handle your zakat"* reads as tax-agent work.

### 1.2 The core line: tool vs. service
- **Technology product (safe side):** Fourwall provides software that the *client's own finance team* uses. The client owns, approves, and posts to its books. Fourwall configures, integrates, and supports the software.
- **Professional service (danger side):** Fourwall staff performing, reviewing, certifying, or taking responsibility for the client's accounting records, financial statements, reconciliations, VAT returns, or zakat base.
- **Test:** in every sentence, ask *"who is the actor?"* If the grammatical actor is Fourwall doing accounting verbs (we reconcile, we close, we book, we certify, we file), rewrite so the actor is the **client's team** or the **software as a tool** ("your team closes faster using Fourwall", "Fourwall software drafts entries for your approval").

### 1.3 Actor rules
- ✅ Actor = **client's finance team** ("your team approves and posts").
- ✅ Actor = **the software** as a tool ("the platform matches…", "the agent drafts… for your review").
- ❌ Actor = **Fourwall as a firm** performing accounting verbs ("we reconcile your accounts", "our accountants close your month-end").
- ❌ Actor = **Fourwall staff** embedded as the client's finance function ("our team acts as your accounting department").
- Human approval must always be visible: draft → review → approve → post. Never imply fully autonomous posting without client control (even if technically possible).

### 1.4 Words that attract attention
Avoid holding out as: accountants, auditors, bookkeepers, tax advisors/agents, "accounting firm", "audit", "assurance", "certify", "attest", "file (VAT/zakat)", "represent before ZATCA", "outsourced finance department", "managed accounting service". These map to SOCPA-licensed or ZATCA-agent territory : **needs Saudi counsel confirmation** on exact Arabic equivalents (محاسب قانوني، مراجعة، تدقيق، خدمات ضريبية، وكيل ضريبي).

### 1.5 Safe territory
Claims about **software capability, speed, accuracy-assistance, visibility, and workflow** are strong and low-risk when attributed to the tool and paired with client ownership: "match daily", "flag exceptions", "draft entries for approval", "VAT-ready data exports", "dashboards", "shorten close cycles". Implementation, integration, training, and *management advisory on processes* (within 702014/702017 scope) can be sold as separate services : but never as performing the accounting itself.

### 3.1 Website footer (short)
- **EN:** "Fourwall is a technology provider. We do not provide accounting, bookkeeping, audit, review, tax, or zakat services. Your company remains solely responsible for its books, financial statements, and tax and zakat filings. Licensed services are available through independent licensed firms."
- **AR:** "فورول مزوّد تقنية. لا نقدّم خدمات المحاسبة أو مسك الدفاتر أو المراجعة أو التدقيق أو الضريبة أو الزكاة. وتبقى شركتكم مسؤولة مسؤولية كاملة عن دفاترها وقوائمها المالية وإقراراتها الضريبية والزكوية. والخدمات المرخّصة متاحة عبر مكاتب مستقلة مرخّصة."

### 3.2 Proposals / pitch decks (one slide or box, before pricing)
- **EN:** "How we work: Fourwall software is used by your finance team inside your own systems. Draft entries, matches, and reports are prepared by the software for your review : nothing posts without your approval. You own and control your books at all times. Fourwall does not act as your accountant, auditor, or tax agent."

### 3.3 Contracts (order form + MSA : instruct counsel to embody)
- **EN (clause summary for counsel):** "Provider supplies a SaaS platform and optional implementation and management-advisory services. Customer retains sole ownership, control, and responsibility for its accounting records, internal controls, financial statements, and tax/zakat compliance, including all approvals and postings. Provider personnel shall not act as Customer's accountant, bookkeeper, auditor, or tax agent, and Provider offers no assurance on financial statements or filings. ## 4. Contract structuring language

### 4.1 Three-part commercial structure (use these headings verbatim)
1. **SaaS subscription (core):** "Subscription to the Fourwall platform, including hosting, support, and standard updates. Customer administers its own users, roles, and approval workflows."
2. **Implementation (optional, fixed-scope):** "Configuration, integration to Customer systems (POS, accounting software, delivery portals, bank-export imports), data-mapping, training, and go-live assistance. Implementation does not include performing, reviewing, or taking responsibility for Customer's accounting records."
3. **Management advisory (optional, process-level):** "Advisory on finance and operating workflows, controls design, and close-process efficiency (aligned to CR activities 702014 / 702017). Excludes accounting, audit, tax, and zakat professional services." : Scope and 702017 municipal licence: **needs Saudi counsel confirmation**.

### 4.2 Client-controls-approvals clause (must-have)
- "All draft journal entries, matches, reconciliations, and reports generated by the platform require review and explicit approval by an authorized Customer user before posting or reliance. Customer configures approval roles and retains full authority to reject, amend, or reverse any system-generated item. Provider cannot post to Customer's books except as an automated function of the software operating under Customer-configured approvals." : Auto-posting mechanics: **needs Saudi counsel confirmation** that the wording preserves the tool-not-service position.

### 4.3 No-accountant / staffing clause (must-have)
- "Provider personnel shall not hold themselves out as, or act as, the Customer's accountant, bookkeeper, finance manager, auditor, or tax agent; shall not sign financial statements, returns, or correspondence on Customer's behalf; and shall not represent Customer before SOCPA, ZATCA, or any authority. Job titles for Provider staff assigned to the account must be product/implementation roles (e.g., Implementation Specialist, Integration Engineer, Customer Success Manager) : never finance-manager/accountant titles."

### 4.4 Licensed-referral clause (optional but recommended)
- "Upon Customer request, Provider may introduce independent firms licensed by SOCPA or registered with ZATCA for accounting, audit, or tax-agent services. Any such engagement is solely between Customer and the licensed firm; Provider is not a party, assumes no professional responsibility, and receives no share of professional fees [unless counsel clears a disclosed referral arrangement : **needs Saudi counsel confirmation**]."

### 4.5 Evidence-preserving language (light touch)
- Keep logs: who approved what, when (user ID + timestamp), for every posted batch. Proposals may mention "full approval audit trail" : this supports the client-control story and helps the client's auditor.

**Never use:** "Your outsourced accounting team" / "فريق محاسبتكم الخارجي" : directly claims the regulated function.

## CEO rule (Amr, 4 Nov 2026)
Technology that performs accounting, bookkeeping, posting, receivables chasing or claims filing is acceptable when presented as a software capability the client uses and approves. Do not soften these to "tracks/drafts only". What stays out: holding Fourwall out as a licensed accounting/audit/tax/zakat provider, assurance or "review" wording, compliance certification, licensed professional titles, and the 702013/702020 descriptors.
